  1. Intellectual Property Rights

    Clients own all materials created during the subscription period, and Mainichi Digital acknowledges and agrees to the clients' full ownership.
  2. Ownership of Materials

    Materials created during the subscription period are transferred to the clients, and they retain ownership after the subscription ends.
  3. Third-Party Fonts

    Mainichi Digital may use third-party fonts on a per-project basis. Clients are responsible for purchasing necessary licenses directly from the font holders.
  4. User Representations

    By using the Website, clients represent that they have legal capacity, will comply with the Terms of Use, are not a minor, won't access the Website through automated means, won't use it for illegal purposes, and won't violate any laws or regulations.
  5. Prohibited Activities

    Clients agree not to engage in unauthorized use of the Website, retrieve data for databases, interfere with security features, engage in unauthorized framing or linking, deceive or disrupt Mainichi Digital, compete with the company, reverse engineer software, harass employees, delete copyright notices, upload viruses, or use the Website inconsistently with applicable laws.
  6. Client Feedback

    Any feedback or submissions provided to Mainichi Digital become the company's property. Mainichi Digital may use and disseminate submissions without acknowledgment or compensation, except for rights granted to clients under the ownership clause.
  7. Management and Oversight

    Mainichi Digital may monitor the Website, take legal action against violations, restrict or deny access, and make decisions to protect its rights and property.
  8. Privacy Policy

    Clients agree to the Privacy Policy and understand data transfer to the United States. Mainichi Digital does not knowingly accept information from individuals under 18 without parental consent.
  9. Returns and Refunds

    Refunds are at Mainichi Digital's discretion, with a 25% fee applied to remaining billable periods. First-month refund requests result in retained ownership of materials by the company. Breach of this clause may lead to legal action.
  10. Modification

    Mainichi Digital may change or remove content on the Website, modify or discontinue it without notice or liability to clients.
  11. Connection Interruptions

    Mainichi Digital does not guarantee uninterrupted access to the website or services. Mainichi Digital is not liable for any loss, damage, or inconvenience resulting from the client's inability to access or use the website during such interruptions.
  12. Governing Law:

    These Terms of Use are governed by the laws of the State of Maryland, without regard to conflict of law principles.
  13. Litigation

    Any legal action arising from these Terms of Use shall be brought in the state courts of Washington County, Maryland, or the United States District Court for the District of Maryland. The parties consent to personal jurisdiction in said courts.
  14. Disclaimer

    The website and services provided by Mainichi Digital are offered on an "as-is" and "as-available" basis. Mainichi Digital disclaims all warranties, express or implied, regarding the accuracy or completeness of the website's content or any linked websites.
  15. Limitations of Liability and Indemnification

    Mainichi Digital is not liable for any damages arising from the client's use of the website. The client agrees to defend, indemnify, and hold harmless Mainichi Digital from any claims, losses, damages, liabilities, or expenses arising from their use of the website.
  16. User Data:

    The client is solely responsible for their data transmitted or related to their activities using the website. Mainichi Digital is not liable for any loss or corruption of client data.
  17. Electronic Communications, Transactions, and Signatures

    The client consents to receive electronic communications from Mainichi Digital and acknowledges the use of electronic signatures and records for agreements, notices, disclosures, and other communications.
  18. Showcasing Design Work

    Mainichi Digital reserves the right to showcase design work on digital channels unless an agreed-upon non-disclosure agreement (NDA) is in place between the client and Mainichi Digital.
  19. Miscellaneous

    These Terms of Use, along with posted policies on the website, constitute the entire agreement between the client and Mainichi Digital. Failure to enforce any right or provision does not waive it. If any provision is deemed unlawful, void, or unenforceable, it will be severed without affecting the validity of the remaining provisions. No joint venture, partnership, employment, or agency relationship is formed between the client and Mainichi Digital.
